1. Acceptance and Scope
These Terms & Conditions (“Terms”) govern access to and use of www.florapetroleum.com (the “Website”), operated under the FloraPetroleum brand (“FloraPetroleum”, “we”, “us”, or “our”). By accessing or using the Website, you agree to these Terms. If you do not agree, you must discontinue use of the Website.
These Terms apply only to use of the Website. They do not replace or amend any separately signed commercial contract.
2. Business-to-Business Use
The Website is intended principally for professional, commercial, industrial, institutional, and wholesale users. You confirm that information submitted through the Website is accurate and that you are authorised to act for the organisation you represent.
3. Website Information Is Not an Offer
Product descriptions, specifications, grades, photographs, packaging options, logistics information, indicative availability, and other Website content are provided for general information only. They may be changed, corrected, or withdrawn without notice. No Website content constitutes an offer capable of acceptance, a guarantee of availability, or a commitment to sell or deliver.
4. Enquiries, Quotations, and Contract Formation
An enquiry, request for quotation, or other communication submitted through the Website does not create a contract. A transaction becomes binding only when the relevant authorised parties execute or formally accept a written commercial document identifying, as applicable, the product, specification, quantity, price, currency, payment terms, delivery term, named place, inspection requirements, and other transaction-specific conditions.
If these Terms conflict with a signed commercial contract, the signed commercial contract prevails for that transaction.
5. Products, Specifications, and Samples
Petroleum, petrochemical, bitumen, base oil, solvent, fuel, and related products may vary according to origin, refinery, production batch, applicable standard, storage, transport, and agreed specification. Only the specification, certificate, sample, test method, tolerance, and acceptance procedure expressly incorporated into the applicable commercial contract are binding.
Images and colours are illustrative and may not represent the exact product, packaging, marking, or shipment supplied.
6. Prices, Taxes, and Payment
Unless expressly stated in a valid written quotation, prices displayed or discussed through the Website are indicative only and may change due to market conditions, feedstock costs, freight, insurance, exchange rates, duties, taxes, sanctions, regulatory changes, or availability. Applicable taxes, customs duties, banking charges, inspection costs, and other expenses are allocated solely under the relevant commercial contract.
Payment terms and bank details are valid only when stated in an authenticated commercial document issued through an authorised FloraPetroleum business channel. Users should independently verify any requested change of bank details before making payment.
7. Delivery, Title, Risk, and Incoterms®
Delivery obligations, transfer of risk, title, freight, insurance, customs clearance, and related costs are governed exclusively by the applicable commercial contract. Any Incoterms® rule applies only when the contract expressly identifies the selected rule, the named place or port, and the applicable edition, such as “Incoterms® 2020”. A general reference on the Website does not incorporate an Incoterms® rule into a transaction.
8. Trade Compliance
Users and counterparties must comply with all applicable export controls, import rules, customs requirements, economic sanctions, anti-money-laundering laws, anti-bribery laws, environmental rules, and product-use restrictions. We may decline, suspend, or terminate discussions or performance where reasonably required for legal, regulatory, banking, insurance, logistics, reputational, or compliance reasons.
You must not use the Website or any product information to facilitate unlawful trade, restricted end use, prohibited diversion, fraud, misrepresentation, or dealings involving a prohibited party or destination.
9. Due Diligence and Documentation
We may request corporate, ownership, banking, end-user, end-use, source-of-funds, licence, permit, transport, or compliance documentation before proceeding with a transaction. Submission of documents does not oblige us to enter into or complete a transaction.
10. Acceptable Use
You must not:
- use the Website unlawfully, fraudulently, or in a way that infringes another party’s rights;
- attempt unauthorised access, introduce malicious code, disrupt security, or interfere with Website operation;
- scrape, copy, reproduce, or commercially exploit Website content without written permission;
- impersonate another person or organisation, or submit false or misleading information; or
- use our name, logo, documents, or content to imply an unauthorised agency, partnership, approval, or affiliation.
11. Intellectual Property
Unless otherwise stated, the Website, its design, text, graphics, photographs, logos, product presentation, and other content are owned by or licensed to FloraPetroleum and are protected by applicable intellectual-property laws. Limited access is granted solely for legitimate evaluation of our business and products. No ownership or other rights are transferred.
12. Third-Party Links and Services
The Website may contain links to third-party websites or services. Such links are provided for convenience only. We do not control and are not responsible for their content, availability, security, privacy practices, products, or services.
13. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Website and its content are provided “as is” and “as available”. We do not warrant that the Website will be uninterrupted, error-free, secure, complete, current, or suitable for a particular purpose. Nothing on the Website constitutes legal, technical, investment, customs, tax, safety, or other professional advice.
14. Limitation of Liability
To the maximum extent permitted by applicable law, FloraPetroleum and its owners, affiliates, directors, employees, representatives, suppliers, and service providers will not be liable for indirect, incidental, special, punitive, or consequential loss arising from Website access or use, including loss of profit, revenue, business opportunity, goodwill, data, or anticipated savings.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Liability relating to a product sale or delivery is determined solely under the applicable commercial contract and mandatory law.
15. Indemnity
To the extent permitted by applicable law, you agree to indemnify and hold harmless FloraPetroleum and its affiliates and representatives from claims, losses, costs, and expenses arising from your unlawful use of the Website, breach of these Terms, infringement of third-party rights, or false or unauthorised information submitted by you.
16. Force Majeure
Website availability and commercial activity may be affected by events beyond reasonable control, including natural disasters, war, civil unrest, sanctions, embargoes, government action, border closure, port congestion, transport disruption, cyber incidents, power or telecommunications failure, labour disputes, epidemic, refinery interruption, or supply shortage. Transaction-specific force-majeure rights are governed by the applicable commercial contract.
17. Privacy
Personal information submitted through the Website is handled in accordance with our Privacy Policy. Do not submit confidential technical, commercial, banking, or personal information unless it is necessary and you are authorised to provide it.
18. Changes to the Website and These Terms
We may update the Website or these Terms when necessary. The effective date shown above indicates the latest revision. Continued use after publication of revised Terms constitutes acceptance of the revised Terms, subject to applicable law.
19. Severability and No Waiver
If any provision is found invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. A failure or delay in enforcing a right does not waive that right.
20. Governing Terms and Disputes
Any commercial dispute is governed by the law, jurisdiction, and dispute-resolution procedure stated in the applicable signed commercial contract. For Website-use matters not covered by such a contract, applicable law and competent jurisdiction will be determined by reference to the registered operator responsible for the Website and mandatory conflict-of-law rules.
